The Challenge for Enterprise Resellers
On August 31, 2023, BDO USA became the first large accounting firm in the United States to hand ownership to its employees through an ESOP, financed by roughly $1.3 billion of credit arranged by Apollo Capital Solutions, which took no equity in return. BDO Digital sits inside that structure. It launched in January 2020 out of the firm's legacy technology practice and SWC Technology Partners of Oak Brook, Illinois, acquired in 2018
Employee ownership changes how a firm thinks about a bench. An unbilled security engineer is now a drag on stock that the staff themselves hold, and the credit behind the plan has to be serviced out of trading performance rather than partner capital. There is a second constraint. BDO USA and BDO Canada are separate member firms of BDO International, so a middle market client operating in both countries does not get one delivery team by default. Cybersecurity is where that seam gets tested hardest, because an identity rollout or a ransomware response pays no attention to which member firm holds the relationship. Government contracting clients in particular arrive with obligations that will not wait for a hiring cycle
